1. Agreement to Terms

1.1 Acceptance

These Terms and Conditions ("Terms," "Terms of Service," or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and CodeCraft AI, Inc. ("CodeCraft," "we," "us," or "our") regarding your use of our AI-powered code generation and expert review services (the "Service"). By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1.3 Additional Terms

These Terms incorporate by reference our Privacy Policy, Data Processing Agreement (for enterprise clients), and any other agreements or policies referenced herein or published on our website.

2. Service Description

2.1 Core Services

CodeCraft provides the following services:

  • AI Code Generation: Automated code creation using advanced language models
  • Expert Review: Professional code review by vetted senior developers
  • Quality Assurance: Testing and validation of generated code
  • Documentation: Comprehensive code documentation and setup guides
  • Support: Technical assistance for delivered projects

2.2 Service Levels

We offer different service tiers with varying delivery times and support levels:

  • Standard: 48-72 hour delivery, email support
  • Priority: 24-48 hour delivery, priority support
  • Enterprise: Same-day delivery, dedicated support team

2.3 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

3. User Accounts and Responsibilities

3.1 Account Creation

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 User Obligations

You agree to:

  • Provide clear and complete project requirements
  • Respond promptly to requests for clarification
  • Review delivered code within 7 days
  • Report issues or bugs within 30 days of delivery
  • Use the Service only for lawful purposes
  • Not attempt to reverse-engineer our AI models or systems

3.3 Prohibited Uses

You may not use our Service to:

  • Create malware, viruses, or malicious code
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Engage in unauthorized access or hacking activities
  • Create code for illegal gambling, adult content, or hate speech platforms
  • Develop surveillance or tracking software without proper consent
  • Build weapons systems or military applications
  • Circumvent security measures or digital rights management

4. Intellectual Property Rights

4.1 Ownership of Generated Code

Upon full payment for services rendered, all intellectual property rights in the code specifically generated for your project transfer to you exclusively. This includes source code, documentation, and any custom configurations or implementations.

4.2 CodeCraft Intellectual Property

CodeCraft retains all rights to our platform, AI models, methodologies, tools, templates, and any pre-existing code or materials. Nothing in these Terms grants you any rights to CodeCraft's intellectual property beyond the specific code generated for your project.

4.3 License to Use Service

We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms. This license terminates upon any breach of these Terms.

4.4 Feedback and Improvements

Any feedback, suggestions, or improvements you provide regarding our Service becomes the property of CodeCraft and may be used without compensation or attribution.

5. Payment Terms and Credits System

5.1 Credit Purchases

Our Service operates on a credit-based system. Credits must be purchased in advance and are non-transferable between accounts. Available packages include:

  • Starter Bundle: 500 credits for €99
  • Growth Bundle: 3,000 credits for €499 (20% discount)
  • Enterprise Bundle: 15,000 credits for €1,999 (35% discount)
  • Custom Packages: Available for purchases over 50,000 credits

5.2 Credit Usage

Credits are consumed based on:

  • Code generation complexity (1 credit per 100 lines approximately)
  • Expert review time (50 credits per hour)
  • Priority processing (25% premium)
  • Additional revisions beyond included scope

5.3 Payment Methods

We accept major credit cards, debit cards, Apple Pay, Google Pay, and wire transfers (for enterprise). All payments are processed securely through Stripe or EcommPay.

5.4 Refund Policy

Unused credits are refundable within 30 days of purchase. Once work has begun on a project, those credits are non-refundable. Refunds for quality issues are handled case-by-case under our Quality Guarantee.

5.5 Taxes

Prices exclude applicable taxes. You are responsible for any taxes, duties, or fees imposed by your jurisdiction. EU customers must provide valid VAT numbers for tax exemption.

6. Quality Guarantee and Warranties

6.1 Quality Standards

We guarantee that delivered code will:

  • Meet the specifications provided in your requirements
  • Follow industry best practices and coding standards
  • Be free from critical bugs or security vulnerabilities
  • Include appropriate error handling and validation
  • Be properly documented and maintainable

6.2 30-Day Bug Fix Guarantee

If you discover bugs in delivered code within 30 days, we will fix them at no additional charge. This guarantee covers defects in our work, not new features, changes in requirements, or issues arising from modifications you make.

6.3 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Confidentiality and Data Protection

7.1 Confidential Information

Both parties agree to maintain confidentiality of any proprietary information shared during the service relationship. This includes project requirements, code, business strategies, and technical specifications.

7.2 Expert NDAs

All expert reviewers sign comprehensive Non-Disclosure Agreements before accessing client projects. They are prohibited from retaining, sharing, or using any client code or information.

7.3 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

8. Limitation of Liability

8.1 Cap on Liability

IN NO EVENT SHALL CODECRAFT'S TOTAL LIABILITY EXCEED THE AMOUNT PAID FOR THE SPECIFIC PROJECT OR SERVICE GIVING RISE TO THE CLAIM, OR $5,000, WHICHEVER IS LESS.

8.2 Exclusion of Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3 Essential Purpose

These limitations apply regardless of the legal theory on which the claim is based and even if a remedy fails its essential purpose.

9. Indemnification

9.1 User Indemnification

You agree to indemnify, defend, and hold harmless CodeCraft from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

9.2 IP Indemnification

CodeCraft will defend you against claims that our delivered code infringes third-party intellectual property rights, provided you notify us promptly and cooperate fully.

10. Termination

10.1 Termination by User

You may terminate your account at any time through account settings or by contacting support. Unused credits remain valid or can be refunded per our refund policy.

10.2 Termination by CodeCraft

We may suspend or terminate your account for violations of these Terms, fraudulent activity, or non-payment. We will attempt to provide notice except in cases requiring immediate action.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination (including IP rights, limitations of liability, and dispute resolution) remain in effect.

11. Dispute Resolution

11.1 Informal Resolution

Before filing a formal dispute, parties agree to attempt resolution through good-faith negotiation for at least 30 days.

11.2 Binding Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration under the rules of the American Arbitration Association in San Francisco, California. The arbitrator's decision is final and binding.

11.3 Class Action Waiver

You waive any right to bring claims as a class representative or member. All disputes must be brought in your individual capacity.

11.4 Injunctive Relief

Either party may seek injunctive relief in court for violations of intellectual property rights or confidentiality obligations.

12. General Provisions

12.1 Governing Law

These Terms are governed by the laws of California, United States, without regard to conflict of law principles.

12.2 Entire Agreement

These Terms constitute the entire agreement between you and CodeCraft regarding the Service and supersede all prior agreements and understandings.

12.3 Severability

If any provision is found unenforceable, the remaining provisions continue in full force. The unenforceable provision will be modified to achieve its intent to the maximum extent possible.

12.4 Assignment

You may not assign these Terms without our written consent. CodeCraft may assign these Terms without restriction.

12.5 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, or pandemic.

12.6 Notices

Legal notices must be sent to legal@codecraft.ai or our registered address. We may send notices to your account email address.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or Service announcement at least 30 days in advance. Continued use after changes take effect constitutes acceptance of the modified Terms.
