Specialist Terms & Conditions

These Specialist Terms & Conditions ("Specialist Terms") govern your participation as an expert code reviewer ("Specialist," "you," or "your") on the CodeCraft platform, operated by CODEGENIX LTD, a company registered in the United Kingdom with registered office at Academy House 11 Dunraven Place, Bridgend, Mid Glamorgan, United Kingdom, CF31 1JF ("CodeCraft," "we," "us," or "our"). These Specialist Terms apply in addition to, and do not replace, our general Terms and Conditions. Where the two conflict on a matter specific to Specialist engagements (payment timing, IP transfer, contractor status), these Specialist Terms control.
1. Application and Acceptance
Submitting an application via our Specialist application form does not itself create an engagement. CodeCraft reviews applications (typically within 48 hours) and, at its sole discretion, may invite an applicant to become an active Specialist. No compensation, guaranteed volume of work, or exclusivity is promised by submitting an application or being accepted.
2. Independent Contractor Status
You perform Specialist services as an independent contractor, not as an employee, agent, partner, or joint venturer of CodeCraft. You are solely responsible for your own taxes, national insurance/social security contributions, business expenses, equipment, and any licenses or registrations your jurisdiction requires for you to provide these services. Nothing in these Specialist Terms creates an employment relationship, and you are not entitled to employee benefits of any kind from CodeCraft.
3. Scope of Work
As a Specialist you review AI-generated code submitted by CodeCraft customers for security, performance, and quality, and provide feedback, revisions, and sign-off through the Specialist dashboard, in line with the review standards CodeCraft provides you at onboarding. You choose which assigned reviews to accept; CodeCraft does not guarantee a minimum number or frequency of assignments.
4. Compensation and Payment Timing
Your compensation is the hourly or per-review rate agreed between you and CodeCraft at onboarding (reflecting the rate you submit with your application, as confirmed in writing before your first assignment). CodeCraft does not currently operate automated in-platform payouts to Specialists. Instead, you invoice CodeCraft for accepted, completed reviews, and CodeCraft pays valid invoices within 15 business days of acceptance, by bank transfer to an account you provide. This is a manual, off-platform payment process today; if CodeCraft introduces automated in-platform Specialist payouts in the future, this section will be updated to describe that mechanism before it goes live, and you will be notified in advance.
5. Unspent Balance on Termination
If your engagement ends for any reason, CodeCraft remains obligated to pay you for all Accepted Work (reviews you completed and CodeCraft or the customer confirmed as delivered) as of the termination date, on the same 15-business-day invoicing timeline described in Section 4. CodeCraft owes no compensation for reviews that were assigned but not completed, or completed but not yet accepted, as of the termination date. There is no separate prepaid Specialist balance to forfeit or refund — Specialists are paid per completed, accepted review, not from a stored credit balance.
6. Intellectual Property Assignment
All feedback, revisions, annotations, and other work product you create while reviewing a customer's project ("Review Work Product") is a work made for hire to the fullest extent permitted by law and, to the extent it is not, is hereby assigned by you to CodeCraft upon creation. Ownership of Review Work Product transfers to CodeCraft, and through CodeCraft to the relevant customer, upon CodeCraft's payment of the corresponding invoice under Section 4. Until payment is made, you retain a right to withhold further delivery of that specific Review Work Product, but this does not entitle you to reuse, publish, or disclose it (see Section 7).
7. Confidentiality
You will keep confidential all customer code, requirements, and business information you access while reviewing projects, consistent with the confidentiality and NDA obligations described in our general Terms (Section 7). You may not retain, reuse, share, or train any model on customer code or project information after your review is complete or your engagement ends.
8. Quality Standards and Revisions
CodeCraft may request revisions to a review if it does not meet the quality standards communicated to you at onboarding. Repeated failure to meet those standards, or a pattern of missed commitments, is grounds for suspension or termination of your Specialist status under Section 9.
9. Term and Termination
Either you or CodeCraft may end your Specialist engagement at any time, for any or no reason, by written notice (email is sufficient). Sections 4, 5, 6, and 7 survive termination. CodeCraft may immediately suspend or terminate a Specialist for a breach of confidentiality, a violation of applicable law, or conduct that harms customers or CodeCraft's platform.
10. Governing Law
These Specialist Terms are governed by the laws of England and Wales, consistent with our general Terms and Conditions.
